Terms of Use of the beUnity Platform

These Terms of Use for users of the beUnity Platform (hereinafter "Terms of Use") govern access to our online platform (hereinafter: "Platform") and the associated online tools (hereinafter: "Services"), as well as their use. They apply to all users (hereinafter: "Users") who register on the Platform directly via an existing community of a customer.

1. Obligation to comply with the Terms of Use

Upon registration on our Platform, the User expressly agrees to the Terms of Use (as well as the Privacy Policy) of beUnity AG, thereby undertaking to comply with them. Only Users who have given their consent to the Terms of Use and have thus concluded a contract are entitled to use the Platform.

2. Registration / conclusion of contract

The User must complete the registration personally. However, the User may only do so if they are at least 18 years old and capable of judgement, or at least 13 years old and registering with the consent of their legal representative.
In addition, the data requested in the registration form must be provided truthfully, up to date and in full. Multiple registrations are prohibited.

beUnity AG may refuse registration; there is no entitlement to registration. The registration is deemed accepted by beUnity AG when the User gains access to the Platform. At the latest at this point in time, the contract between the User and beUnity AG comes into existence. If the User's contract is terminated (see below) and a new registration is prohibited, the User may not register again.

3. Password

Upon registration, the User sets an individual password that provides access to their user account on the Platform. The password must be kept carefully and must not be disclosed to third parties, in order to prevent misuse. The User is obliged to inform beUnity AG immediately upon becoming aware that unauthorised third parties have obtained knowledge of the password. The User is liable for any misuse by third parties, unless the User provides proof that they are not at fault for the third party's unauthorised access.

4. Rights to the Platform

beUnity AG owns all rights to the Platform (in particular copyrights, trademarks, domains, logos, patents and other intellectual property rights associated with the Platform). beUnity AG grants the User solely the right to use the Platform in accordance with these Terms of Use.

5. Changes to the offering

beUnity AG is entitled to change, expand, restrict or discontinue the offering on the Platform at any time, without stating reasons and without the User's consent. The User also has a right to immediate termination in this case (see below, Termination of the contract).

6. Rules regarding the use of the Platform

6.1 User account

The data requested in the registration form must be kept up to date in the User's user account at all times.

6.2 Rights to contributions

After completing registration, the User may post content such as texts, comments, photos etc. (hereinafter: "Contribution") on the Platform. The User remains the owner of the Contribution. The User grants beUnity AG, free of charge, the right to use the Contribution for the operation of the Platform. This right is non-exclusive and unlimited in time and territory. To the extent necessary, beUnity AG may also transfer or sublicense this right. By posting a Contribution on the Platform, the User warrants that they are entitled to grant the rights granted to beUnity AG herein and have not already disposed of them elsewhere. In particular, the User warrants that they do not infringe any third-party rights.

6.3 Sole responsibility of the User for Contributions

The User bears sole responsibility for their Contributions. By sharing a Contribution on the Platform, the User confirms that they comply with the applicable legal system and the rights of third parties (e.g. copyrights, trademark or patent rights). In particular, the User confirms that they hold all rights to the shared Contributions and have obtained any necessary third-party consents.

In particular, the following Contributions are inadmissible:

  • Contributions that violate the personality rights of third parties;
  • Contributions that infringe third-party rights (e.g. copyrights, trademark or patent rights);
  • Contributions that are to be regarded as insulting, harassing, threatening, damaging to reputation or business, offensive, immoral, pornographic, racist etc., or that contain incitements to violence or other criminal offences;
  • Contributions that are anti-competitive or promote anti-competitive practices (including progressive customer acquisition schemes such as chain systems, snowball systems or pyramid schemes);
  • Contributions that contain viruses or constitute unsolicited mass mailings (so-called spam);

6.4 Sole legal responsibility of the User for Contributions

The User alone bears any legal consequences and costs incurred in the event of violations of the applicable legal system and/or these Terms of Use.

6.5 User's duty to report

The User undertakes to report to beUnity AG any Contributions that violate the legal system and/or these Terms of Use. beUnity AG reviews such Contributions within a reasonable period and decides whether they are to be deleted (see below, Deletion of Contributions).

6.6 Exclusion of any duty to review

Although beUnity AG takes quality assurance measures, it is not obliged to review Users' Contributions on its own initiative.

6.7 Deletion of Contributions

beUnity AG (or its employees with the relevant authority) is entitled to delete individual Contributions or parts of Contributions at any time. It generally provides information about the deletion. However, there is no entitlement to such information.

7. Termination of the contract

beUnity AG has the right to terminate the contract with the User at any time without stating reasons. Upon termination, the entitlement to use the Platform lapses.

The User has the right to terminate the contract with beUnity AG at any time without stating reasons. Termination is effected via the "Profile and settings" function (> Delete my user account). Upon receipt of the termination, the User's user account is deleted. The Contributions made are also deleted.

8. Liability of beUnity AG

The liability of beUnity AG is expressly excluded to the extent permitted by law. This also applies to employees, representatives and other auxiliary persons of beUnity AG. Liability is rejected in particular in the following areas:

  • No liability for the topicality, correctness and completeness of the content on the Platform;
  • No warranty assumed for the security of the data;
  • No liability for any kind of technical disruption (in particular no liability for the functionality and availability of the Platform);
  • No liability for phishing cases;
  • No liability for Users' Contributions (see above). The content does not originate from beUnity AG.

9. Data protection

The Privacy Policy regarding the processing of data forms an integral part of these Terms of Use.

10. Final provisions

10.1 Communication

Notices from beUnity AG to the User are sent via e-mail or the Platform.

10.2 Amendments to the Terms of Use

beUnity AG reserves the right to amend these Terms of Use at any time without stating reasons. beUnity AG provides information about amendments via the Platform. The amendments are deemed approved by the User if the User continues to use the Platform after the expiry of one month following the entry into force of the new Terms of Use, or does not terminate the contract within two months of the amendments entering into force (see above).

10.3 Applicable law and place of jurisdiction

All contracts between beUnity AG and the User are governed exclusively by Swiss law, to the exclusion of conflict-of-laws rules and international treaty law.

The courts at the registered office of beUnity AG have jurisdiction over any disputes in connection with the use of our services.

10.4 Severability clause

Should individual provisions of these Terms of Use or of the Privacy Policy be or become invalid, this shall not affect the validity of the remaining provisions.
